These Terms of Use ("Terms"), together with our Privacy Policy and any notices or disclaimers appearing on the Site from time to time, govern your access to and use of the website at xclusiverecruitment.com.au (the "Site"), operated by Xclusive Recruitment ("Xclusive", "we", "us" or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. About Xclusive

Xclusive is a specialist recruitment-to-recruitment (Rec2Rec) consultancy that partners with recruitment agencies and experienced recruiters across Australia. The Site provides general information about our services and enables you to contact us.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. In particular, you agree that you will not: use the Site in any way that breaches any applicable law or regulation; introduce or transmit any virus, malicious code or other harmful material; attempt to gain unauthorised access to the Site, its servers, or any connected system or network; use any automated means (including scraping, harvesting or data-mining) to access or copy content from the Site without our prior written permission; or use the Site or any information obtained through it to send unsolicited commercial communications in breach of the Spam Act 2003 (Cth).

3. Information provided by you

Where you submit information to us through the Site (for example, via our contact form or by email), you warrant that the information you provide is true, accurate, current and complete, and that you are authorised to provide it. If you provide personal information about another person, you confirm that you have that person's consent to do so. We handle personal information in accordance with our Privacy Policy.

4. No advice and no guarantee of outcome

The content on the Site is provided for general information only. It does not constitute professional, legal, financial or career advice, and should not be relied upon as such. While we take care in providing our services, we do not warrant or guarantee any particular outcome, including the availability of any role, the suitability of any candidate, or the securing of any placement. Any decision you make in connection with a role, candidate or engagement is made at your own discretion and risk.

5. Referral programme

Where you participate in any referral programme offered by Xclusive, your participation is also subject to the specific terms and conditions of that programme, which are available on the Site. In the event of any inconsistency between these Terms and the referral programme terms, the referral programme terms prevail in respect of that programme.

6. Intellectual property

All content on the Site, including text, graphics, logos, images, video, layout and design, is owned by or licensed to Xclusive and is protected by the Copyright Act 1968 (Cth) and other applicable intellectual property laws. The Xclusive Recruitment name and logo are trade marks of Xclusive and must not be used or reproduced without our prior written permission. You may view and print content from the Site for your own personal, non-commercial use, but you must not otherwise reproduce, adapt, distribute or commercialise any content without our prior written consent.

7. Third-party links and content

The Site may contain links to third-party websites and services (including LinkedIn and review platforms), and may display content provided by third parties. We provide these links and content for convenience only. We do not control, endorse or accept responsibility for any third-party websites, services or content, and your use of them is subject to the terms and privacy policies of those third parties.

8. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Site and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

To the maximum extent permitted by law, Xclusive will not be liable for any loss or damage (including indirect, consequential, special or incidental loss, or loss of profit, revenue, data or opportunity) arising out of or in connection with your use of, or inability to use, the Site, whether based in contract, tort (including negligence), statute or otherwise.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied.

9. Indemnity

You agree to indemnify and hold harmless Xclusive and its personnel from and against any claim, loss, liability, cost or expense (including reasonable legal costs) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your breach of any law or the rights of any third party.

10. Suspension and changes to the Site

We may modify, suspend or discontinue the Site (or any part of it) at any time without notice. We may also restrict or terminate your access to the Site if we reasonably believe you have breached these Terms.

11. Changes to these Terms

We may amend these Terms from time to time by publishing the revised version on the Site. The revised Terms take effect from the date they are published, and your continued use of the Site after that date constitutes acceptance of the amended Terms.

12. Governing law

These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia in respect of any dispute arising out of or in connection with these Terms or the Site.
